Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Aevix platform ("Service"), operated by Chaos Digital ("Aevix," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
Aevix is a multi-tenant, module-based, hosted software-as-a-service (SaaS) platform designed for public safety agencies including fire departments, EMS organizations, and law enforcement agencies. The Service provides operational management tools including scheduling, certifications tracking, vehicle checks, inventory management, training, incident reporting, and additional modules as described on our website. The Service is delivered via web browser and is hosted and maintained by Aevix.
2. Account Registration & Organization Membership
To use the Service, you must register an account and be associated with an organization ("Organization"). Each Organization is managed by designated owners and administrators who control membership, roles, and permissions.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must provide accurate and complete registration information.
- Organization owners and administrators are responsible for managing user access and ensuring compliance with these Terms within their Organization.
- You may belong to multiple Organizations. Each Organization operates as an independent tenant with isolated data.
3. Acceptable Use Policy
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Upload or transmit viruses, malware, or other malicious code.
- Use the Service to store or transmit content that infringes on intellectual property rights of others.
- Reverse engineer, decompile, or disassemble any portion of the Service.
- Resell, sublicense, or redistribute the Service without prior written consent.
Violation of this policy may result in immediate suspension or termination of your account.
4. Payment Terms
Paid subscriptions are billed in advance on a monthly or annual basis as selected during signup. All payments are processed through Stripe.
- Pricing tiers are based on the number of active members and modules enabled for your Organization.
- Refunds: We do not provide refunds for partial billing periods. If you cancel, your access continues through the end of the current billing cycle.
- Failed payments: If a payment fails, we will attempt to process the charge up to three additional times. After repeated failures, your account may be downgraded or suspended.
- Taxes: You are responsible for all applicable taxes. Prices displayed do not include taxes unless otherwise stated.
5. Intellectual Property
Aevix retains all rights, title, and interest in and to the Service, including all software, designs, logos, trademarks, and documentation. These Terms do not grant you any right to use Aevix trademarks or branding without prior written consent.
You retain all rights to the data you submit to the Service ("Customer Data"). Aevix claims no ownership over Customer Data.
6. Customer Data
- Ownership: You own all data you or your users submit to the Service. Aevix does not claim ownership of Customer Data.
- Processing license: You grant Aevix a limited license to process Customer Data solely for the purpose of providing and improving the Service.
- Isolation: Customer Data is logically isolated between Organizations using row-level security policies. No Organization can access another Organization's data.
- Portability: You may request an export of your Customer Data at any time by contacting support.
- Deletion: Upon termination, Customer Data is retained for 90 days to allow retrieval, after which it is permanently deleted.
7. AI Features
The Service includes optional AI-powered features provided through Anthropic's Claude API. By using AI features, you acknowledge and agree:
- AI features are opt-in and can be disabled at the Organization level.
- Customer Data processed by AI features is not used by Anthropic to train their models, per our data processing agreement with Anthropic.
- AI-generated outputs are provided "as-is" without guarantees of accuracy, completeness, or fitness for any particular purpose.
- You are responsible for reviewing and verifying any AI-generated outputs before relying on them for operational decisions.
- Aevix does not make automated decisions that produce legal effects or similarly significant effects on individuals based solely on AI processing.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.
9. Confidentiality
Each party agrees to hold the other party's confidential information in strict confidence and not to disclose it to third parties except as necessary to perform obligations under these Terms. Confidential information includes, but is not limited to, Customer Data, pricing terms, and proprietary technology. This obligation survives termination of these Terms for a period of three (3) years.
10. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AEVIX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AEVIX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO AEVIX DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL AEVIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER AEVIX WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Indemnification
You agree to indemnify, defend, and hold harmless Aevix and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, violation of these Terms, or infringement of any third-party rights.
Aevix agrees to indemnify you against third-party claims alleging that the Service infringes such third party's intellectual property rights, provided you promptly notify Aevix and cooperate with the defense.
13. Dispute Resolution
Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the United States, and the arbitrator's decision shall be final and binding.
Government entity carve-out: If you are a government entity that is legally prohibited from entering into binding arbitration, this arbitration clause does not apply to you, and disputes shall instead be resolved in a court of competent jurisdiction.
Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
14. Termination
- By you: You may terminate your account at any time with 30 days' written notice. Access continues through the end of the current billing period.
- By Aevix: We may suspend or terminate your account immediately for material breach of these Terms, including violation of the Acceptable Use Policy.
- Data retention: Upon termination, Customer Data is retained for 90 days to allow retrieval, after which it is permanently deleted.
15. Modification of Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' advance notice via email to the address associated with your account. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions.
17. General Provisions
- Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
- Entire agreement: These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between you and Aevix regarding the Service.
- Waiver: Failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment: You may not assign these Terms without Aevix's prior written consent. Aevix may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
- Notices: All notices under these Terms shall be sent to the email address associated with your account or, for notices to Aevix, to legal@aevix.app.
